Terms of Service
Sourcelines is sold to businesses, not to the public. These are the terms it is provided on, written to be read rather than skipped.
1. The agreement
These terms are between Sourcelines (we, us) and the company that has subscribed to the service (you, the customer). They apply to this website and to the Sourcelines application alike and they take effect when you first use either.
Where we have signed an order form, a master agreement or a data processing agreement with you, that document governs anything it covers and these terms fill the rest.
2. Who may use it
Sourcelines is for freight brokerages and the people who work for them. You must be at least 18, acting for a business and authorised to bind that business. There is no public sign-up. Accounts are created by us and every user account belongs to the customer it was created for.
You are responsible for what happens under your accounts. Keep credentials to the person they were issued to, do not share them and tell us as soon as you suspect one has been compromised.
3. What the service is
Sourcelines holds a brokerage's commercial record, meaning its shippers, contacts, facilities, lines and load history and it helps users act on that record by reading the history, drafting outreach and working the correspondence that follows.
We improve the product continuously and features may be added, altered or withdrawn. We will not materially reduce the core functionality you are paying for during a paid term without telling you first.
4. Your data stays yours
Everything you load into Sourcelines or generate inside it, including records, correspondence and exports, remains your property. We claim no ownership of it and we use it only to provide and secure the service, on your instructions.
You warrant that you have the right to put that data into the service, including any personal data about your own contacts and that doing so breaks no law and no promise you have made to anyone. Our handling of it is described in the Privacy Policy.
You can export your data throughout the term. When the agreement ends we will return or delete it within 30 days of your request, save for copies held in backups, which expire on their own schedule.
5. Drafts are drafts
The product generates suggested outreach and summarises what it holds. That output is a draft for a person to read, judge and approve. It can be wrong, it can be out of date and it is not legal, financial or commercial advice.
You are responsible for everything sent from your accounts and for compliance with the laws that govern it, including CAN-SPAM, the TCPA, GDPR and PECR marketing rules and their equivalents wherever you operate. Nothing here approves sending mail that those rules forbid.
6. What you may not do
- use the service in breach of any law, or to infringe anyone's rights;
- send unlawful bulk mail, harassment or anything deceptive from a connected mailbox;
- upload personal data you have no right to hold, or special-category data the service was never built for;
- attempt to reach another customer's tenant, or to probe, scan or overload the infrastructure;
- reverse engineer, copy or resell the service, or open accounts for people outside your business;
- use it to build a competing product, or to benchmark it for a competitor.
Where a breach threatens the service or another customer, we may suspend access immediately. Otherwise we will tell you what is wrong and give you a fair chance to fix it.
7. Third-party services
Connecting a mailbox brings Google into the arrangement and that connection is also governed by Google's own terms. We are not responsible for a third-party service's availability, nor for what it changes on its own. If such a service withdraws access, the feature that depended on it may stop working.
8. Fees
Fees, billing period and currency are set in your order form. Invoices are payable within 30 days unless it says otherwise and fees are exclusive of VAT and other taxes, which you pay. Late payment may suspend the service after written notice. Fees already paid are non-refundable, except where we terminate for our own convenience, in which case the unused portion of the term is refunded.
9. Confidentiality
Each of us will keep the other's non-public information confidential, use it only for this agreement and protect it as carefully as our own. That duty does not cover what is already public, what was known before disclosure or what the law compels us to disclose. In that last case we will tell you first, where we lawfully can.
10. Our intellectual property
The software, its interface, its name and everything we produce in running it remain ours. You get a non-exclusive, non-transferable right to use the service during the term and nothing more is granted by implication. Feedback you send us, we may use freely, without owing you anything for it.
11. Availability and warranties
We will provide the service with reasonable skill and care and keep it available in substance, excepting planned maintenance we have given notice of and matters outside our control. Where an order form states a service level, that governs.
Beyond that, the service is provided as is. To the extent the law allows, we disclaim every other warranty, express or implied, including merchantability, fitness for a particular purpose and non-infringement and we do not warrant that the service will be uninterrupted, error-free or that its output will be accurate.
12. Liability
Neither of us is liable for indirect or consequential loss, or for lost profit, revenue, business, goodwill or anticipated saving, however it arises.
Each party's total liability under this agreement is capped at the fees paid or payable in the 12 months before the event giving rise to the claim. Nothing is limited or excluded where the law forbids it, such as death or personal injury caused by negligence, fraud or your obligation to pay the fees.
13. Indemnity
You will indemnify us against claims arising from your data, or from your use of the service in breach of these terms. We will indemnify you against a third-party claim that the service itself infringes their intellectual property, provided you tell us promptly and let us conduct the defence.
14. Term and termination
The agreement runs for the term in the order form and renews for successive equal terms unless either of us gives 30 days' written notice before the end of one. Either party may terminate immediately for a material breach left uncured for 30 days after written notice, or if the other becomes insolvent.
On termination, access ends and section 4's export and deletion rights apply. Sections 4, 9, 10, 12, 13 and 15 survive.
15. Governing law
The governing law and the courts with jurisdiction over any dispute are those named in your order form. Before filing anything, come to us. Most disagreements are settled in a conversation.
16. The rest
We may update these terms. The date at the top is always the current version and we will give account holders notice of a material change before it takes effect. Continuing to use the service after that is acceptance.
You may not assign this agreement without our consent. We may assign it to a successor of the business. If a clause is unenforceable, the rest stands. A right not exercised is not a right waived. Together with any order form and the Privacy Policy, this is the whole agreement between us.
Questions go through the contact form.
